These Terms and Conditions apply to all projects and services provided by Firewood Pictures Ltd, trading as Ampersand Film Co (“Ampersand”, “we”, “us”). Acceptance of a quotation, estimate, purchase order, or instruction to proceed constitutes acceptance of these terms. Full Terms and Conditions are available on our website and take precedence.
Scope of Work and Quotation
All work is delivered in line with the agreed quotation, which defines scope, deliverables, timeline, and costs. A standard production or post-production day consists of 9 hours, excluding travel. Any changes to scope, deliverables, or timelines must be agreed in writing and may incur additional costs.
Fees, Deposit, and Expenses
A 50% non-refundable deposit is required to secure a booking and commence work. The balance is invoiced in line with the agreed payment schedule. Project expenses, including travel, accommodation, equipment hire, talent fees, and licensing, are charged in addition unless otherwise stated.
Client Responsibilities
The Client is responsible for providing accurate briefs, timely feedback, and access to locations, contributors, and materials. The Client must secure all permissions, licences, and clearances for any materials supplied and indemnifies Ampersand against any resulting claims.
Creative Approval and Amendments
Where scripts, treatments, or storyboards are produced, written approval is required before production begins. The project includes up to two rounds of reasonable post-production amendments within scope. Additional rounds or out-of-scope changes will be charged. Once final approval is given, any further changes constitute a new scope of work.
Production and Delivery
Ampersand may engage subcontractors or freelancers as required and remains responsible for delivery. Timelines are estimates and may change due to factors outside our control. Final delivery occurs upon written approval and sign-off by the Client.
Copyright and Usage
Ampersand retains full copyright in all content created. Upon full payment, the Client is granted a perpetual, non-exclusive licence to use the content in its delivered form only. Content may not be altered or reused without written permission. Ampersand may use project content for showreels and promotional purposes unless otherwise agreed.
Raw Footage, Project Files, and Storage
Raw footage, project files, and long-term storage are not included unless agreed separately and may incur additional fees.
Confidentiality and Data Protection
Both parties agree to keep confidential any sensitive information shared during the project. Ampersand complies with UK GDPR and processes personal data solely for project delivery and business administration, in line with our Privacy Policy.
Delays, Force Majeure, and Liability
Ampersand is not liable for delays caused by the Client or by events beyond reasonable control, including adverse weather, illness, or government restrictions. Liability is limited to the total fees paid for the relevant project. Ampersand is not liable for indirect or consequential losses.
Payment Terms
Unless otherwise agreed, payment is due 30 days from invoice date. Late payments may incur interest and recovery costs. Ampersand reserves the right to withhold delivery or usage licences until payment is received in full.
Termination and Cancellation
The Client may terminate the project in writing but remains liable for all work completed and costs incurred. Cancellation fees apply as follows:
More than 15 days before production: 25%
Less than 15 days: 50%
Less than 5 days: 100%
Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
